Fundraiser Program Agreement

This Fundraiser Program Agreement ("Agreement") is entered into between Enclave Dev LLC, d/b/a Claybreaker ("Claybreaker," "we," "us") and you ("Affiliate," "you"), the individual or organization signing up for the Claybreaker Team Fundraiser Program.
By checking the "I agree" box on the fundraiser signup form, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
1. Purpose
This Agreement establishes a referral arrangement where you will promote the Claybreaker mobile application to your community in exchange for commission payments on referred subscriptions.
2. Referral Code
2.1 Upon signup, you will be assigned a unique fundraiser referral code.
2.2 Your code may not be transferred, sold, or shared with other organizations for their use as their own referral mechanism.
2.3 Claybreaker reserves the right to modify the code format with 30 days notice if technical requirements change.
3. Commission Structure
3.1 Commission Rate
You shall receive twenty percent (20%) of the subscription price paid by each Qualifying Customer.
3.2 Commission Basis
Commission is calculated on the gross subscription price (the amount the customer pays), not on Claybreaker's net revenue after Apple's commission.

3.4 Self-Referral
Self-referral is permitted. You may use your own fundraiser code when purchasing a Team Package or individual subscription for yourself or your organization. Commission will be calculated on the full purchase price.
3.5 Qualifying Customer
A "Qualifying Customer" is a user who:
- Creates a Claybreaker account with your referral code entered
- Subsequently purchases a Claybreaker subscription (any tier)
- Maintains an active subscription
3.6 Commission Duration
Commissions are paid for the first twelve (12) months of each Qualifying Customer's subscription, calculated from their initial purchase date.
- Annual subscribers: Commission is paid on the first annual subscription payment only. Renewals in subsequent years do not generate additional commission.
- Monthly subscribers: Commission is paid for each month the customer maintains an active subscription, up to a maximum of twelve (12) billing cycles.
- Team Packages: Commission is paid on the first annual team package purchase. Renewals in subsequent years do not generate additional commission.
After 12 months from a customer's initial purchase, no further commission accrues for that customer regardless of continued subscription.
3.7 Changes to Subscription Pricing
If Claybreaker modifies subscription prices, your commission shall be calculated on the new pricing. Your 20% rate remains unchanged regardless of changes to Apple's commission rate or Claybreaker's pricing.
4. Payment Terms
4.1 Payment Schedule
Commissions shall be calculated and paid quarterly, within thirty (30) days following the end of each calendar quarter:

4.2 Minimum Payout
The minimum payout amount is twenty-five dollars ($25.00). If earned commissions in a quarter are below this threshold, the balance rolls forward to the following quarter until the minimum is reached.
4.3 Payment Method
Claybreaker will contact you to arrange payment method (check, PayPal, Venmo, direct deposit, or other mutually agreed method) prior to your first commission payout. All payments are in United States Dollars (USD).
5. Reporting
5.1 Claybreaker shall provide you with a quarterly report containing: number of new Qualifying Customers, subscription types, commission earned per customer, total commission for the period, and year-to-date totals.
5.2 Reports shall be delivered electronically within fifteen (15) days of quarter end.
5.3 You may request clarification on any report within thirty (30) days of receipt. Claybreaker shall respond within fourteen (14) days.
6. Your Obligations
6.1 You agree to:
- Promote Claybreaker accurately and honestly
- Use only your assigned referral code for tracking
- Comply with all applicable laws and regulations
- Not make false or misleading claims about the application
6.2 You shall not:
- Use paid advertising that includes Claybreaker trademarks without prior written approval
- Engage in spamming or unsolicited mass communications
- Create fake accounts or engage in fraudulent referral activity
- Disparage Claybreaker or its products
7. Claybreaker's Obligations
Claybreaker agrees to:
- Provide accurate tracking of referrals via the referral code system
- Pay commissions as specified in this Agreement
- Deliver quarterly reports as specified
- Provide reasonable notice of material changes to the application or pricing
- Provide promotional materials upon request (logos, screenshots, descriptions)
8. Term and Termination
8.1 Term: This Agreement begins when you accept it and continues for one (1) year, automatically renewing for successive one-year terms unless either party provides thirty (30) days written notice of non-renewal.
8.2 Termination for Convenience: Either party may terminate at any time with thirty (30) days written notice.
8.3 Termination for Cause: Either party may terminate immediately if the other party materially breaches this Agreement and fails to cure within fourteen (14) days of notice.
8.4 Effect of Termination: Upon termination, you shall cease using the referral code and Claybreaker trademarks. Commissions earned before termination shall still be paid per the normal schedule. No commissions accrue for referrals made after termination.
9. Confidentiality
Both parties agree to keep confidential any non-public information shared under this Agreement, including commission amounts, customer counts, and business strategies. This obligation survives termination for two (2) years.
10. Intellectual Property
Claybreaker grants you a limited, non-exclusive license to use Claybreaker's name, logo, and approved promotional materials solely for promotion under this Agreement. This license terminates immediately upon termination of this Agreement. You shall not modify Claybreaker's trademarks or create derivative works.
11. Disclaimer and Limitation of Liability
11.1 Claybreaker provides the application "as is" and makes no warranties regarding uptime, fitness for purpose, or future availability.
11.2 In no event shall either party be liable for indirect, incidental, or consequential damages.
11.3 Claybreaker's total liability under this Agreement shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.
12. Independent Contractor
You are an independent contractor, not an employee, agent, or franchisee of Claybreaker. You are responsible for your own taxes and business expenses.
13. Tax Matters
13.1 You are solely responsible for all taxes arising from commission payments, including income taxes, self-employment taxes, and any other applicable taxes.
13.2 Prior to the first commission payment, you shall provide Claybreaker with a completed IRS Form W-9 (or W-8BEN for non-US entities).
13.3 If Claybreaker pays you six hundred dollars ($600) or more in any calendar year, Claybreaker will issue IRS Form 1099-NEC.
13.4 Apple Inc. collects and remits all sales tax on App Store transactions. Commission is based on the subscription price, not including sales tax.
14. Modifications
14.1 Claybreaker may modify these terms with sixty (60) days written notice. Continued participation after the notice period constitutes acceptance. You may terminate within the notice period if you do not accept the new terms.
14.2 Changes to the commission rate require sixty (60) days notice. Your right to terminate within that period is preserved.
15. General
Entire Agreement: This document constitutes the entire agreement between you and Claybreaker regarding its subject matter.
Governing Law: This Agreement is governed by the laws of the State of Illinois.
Notices: All notices shall be sent to the email address you provided during signup, or to support@claybreaker.app for notices to Claybreaker.
Assignment: Neither party may assign this Agreement without the other's written consent.
Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
